Release of Liability and Indemnification
By submitting any Open API Challenge entry, entrants release AGU, any sponsors, their respective subsidiaries, affiliates, directors, officers, employees, representatives, agents, and advisors from any and all liability for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with: (1) the Open API Challenge; (2) the decisions of the Judges; or (3) any violations of the Open API Challenge Rules.
In addition, each entrant agrees to indemnify, defend and hold AGU and its directors, officers, employees, agents, volunteers successors and/or assigns harmless with respect to any and all claims, losses, damages, liabilities, judgments or settlements, including reasonable attorney’s fees, costs, and other expenses incurred on account of: (i) any violation of the Open API Challenge Rules; (ii) any act or omission of the entrant; or (iv) any claims that content submitted by the entrant infringes or violate any copyright or other intellectual property or property right.
Governing Law & Dispute Resolution
Any disputes arising in connection with these Rules or the Open API Challenge shall be resolved by binding arbitration in the District of Columbia by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association. The award shall be enforceable in any court having jurisdiction thereof. The validity, construction, and performance of these Rules shall be construed in accordance with the laws of the District of Columbia.
